## In plain words

- These terms cover Reserve, Own and Colocate. They apply to business customers only.
- Your order form sets the hardware, term, price and delivery date. It wins over these terms, except on personal data (the data processing agreement wins) and switching (the EU Data Act wins).
- Reserve and Own servers are delivered as bare metal. We run the facility, power, hardware, firmware and network. You run the operating system and everything above it, including backups. On Colocate, you run your own hardware.
- On Reserve you prepay at signing: three months' fees on a 2-year term, six months' on a 1-year term. It's credited against your last invoices.
- Billing starts when you accept the server, not when you sign.
- On Reserve, you get a free day of service for each day we're late. If we're more than 60 days late, you can cancel that server and get its prepayment back in full.
- Leaving a Reserve term early costs what we can't recover, plus a margin stated in your order form. It is capped at what you'd have paid for the rest of the term, and never includes switching costs.
- You can switch to another provider at any time. Switching and data transfer are free.
- Estonian law applies.

Version 1, 26 October 2026.

## 1. Who we are and who these terms are for

1.1. The provider is 3NV OÜ, registry code 17032725, VAT EE102759686, Tornimäe tn 5, 10145 Tallinn, Estonia ("3NV", "we").

1.2. These terms apply to customers who buy for their business ("you"). We don't sell to consumers.

1.3. A contract is made of a signed order form plus these terms and the policies they name: the [Acceptable Use Policy](https://3nv.io/legal/acceptable-use-policy), the [Support Policy](https://3nv.io/legal/support-policy) and, where we process personal data for you, the [Data Processing Agreement](https://3nv.io/legal/data-processing-agreement).

1.4. If documents conflict, this order applies:

1. the Data Processing Agreement, for personal data only;
2. section 8 of these terms (Switching providers), where the EU Data Act requires it;
3. the order form;
4. any service levels agreed for your deployment;
5. the rest of these terms;
6. the other policies.

Your own purchase-order terms never apply.

1.5. **Language.** Contracts can be signed in English or Estonian. If both versions exist, the English version wins.

## 2. The services

2.1. **Reserve.** We buy, build and run dedicated GPU servers for your exclusive use for a fixed term. The hardware is owned by 3NV, or by a financier named in your order form.

2.2. **Own.** You buy GPU servers, or we buy them for you. We host them at the data centre named in your order form and run them up to the operating system. The hardware becomes yours at acceptance.

2.3. **Colocate.** We provide rack space, power, network and on-site hands for servers you own and run yourself. Your contract is with 3NV only: the data centre operator has no contract with you and doesn't invoice you. Access for your engineers and your equipment is set out in an access agreement between you, 3NV and the operator, and the operator's site rules apply. You order on-site hands through us.

2.4. **Hardware.** The order form states the configuration. Before you order, we check the server's power and cooling against the rack.

2.5. **Bare metal.** Reserve and Own servers are delivered without a hypervisor and without other tenants. At handover you get Ubuntu LTS installed, or a blank disk for your own image, and a remote console over VPN.

2.6. **Data centre.** Your servers run in a data centre in Estonia, named in your order form. Today that is Greenergy's Tallinn DC-1. We don't move your servers to another data centre without your written agreement.

## 3. Who does what

3.1. For Reserve and Own we run the facility, power, cooling, hardware, firmware, network and part replacement. For Colocate we run the facility, power, cooling and our network; you run your hardware.

3.2. You run the operating system, drivers, models, data and applications. We do work above the operating system only under a separate written scope.

3.3. We keep control of firmware and the server's management controller. We use the management controller for hardware and firmware work only. Every login to it or to the console is logged with who and when, and you can ask for that log.

3.4. You are responsible for your data and its backups. Keep backups outside the server we provide. We don't back up, copy or restore your data.

## 4. Ordering, delivery and acceptance

4.1. We send a written quote. A contract starts when both parties sign the order form.

4.2. **Reserve.** We order the hardware once your prepayment has cleared. The delivery clock starts that day. The order form states the target delivery date, which is based on the supplier's lead time plus a 72-hour burn-in.

4.3. We hand over each server with a commissioning checklist. You may reject it only for a material gap against the checklist. The server counts as accepted when you confirm it, when you start using it for production work, or 3 business days after handover if you haven't told us of a material gap. If you reject a server, we fix the gap and hand it over again, and you get another 3 business days to check it.

4.4. **If we are late (Reserve).**

- For each day past the target delivery date, you get one day of service free, added as a credit on your invoices.
- If we are more than 60 days late, you may cancel that server. We refund the prepayment for it in full. Free days stop when you cancel.
- These are your only remedies for late delivery.
- The target date moves by any delay caused by you, by waiting for an export licence, or by force majeure. We tell you in writing when this happens.

4.5. Delays on your side don't move billing. Your rights for hidden defects, and any agreed service levels, continue after acceptance.

4.6. **Own.** Delivery and acceptance follow the same checklist process. If the hardware arrives late, we pass on any credit or discount the supplier gives us. If it is more than 90 days late, you may cancel. We then refund what you paid us, and the hardware cost as far as the supplier refunds it, less any supplier cancellation charge we told you about before ordering.

## 5. Prices, prepayment and billing

5.1. Prices are in the order form, in euros, excluding VAT.

5.2. **Reserve** is priced per GPU-hour. A month counts as 730 hours. You pay for every GPU in the server, whether you use it or not. Power is included.

5.3. **Energy reset (Reserve).** Once a year, on the anniversary of acceptance, we reset the energy part of the price to our actual energy cost. The change is capped at ±20% of the energy part, so it can go down as well as up. The order form states the energy part. We give you 30 days' written notice of the new energy part. On request, we show you the energy invoices behind it, under confidentiality.

5.4. **Traffic (Reserve and Own).** Each server includes 100 TB of outbound traffic a month. Inbound traffic is not counted. Above the allowance, we charge the per-TB price in your order form. Traffic used to switch providers under section 8 is never charged.

5.5. **Prepayment (Reserve).** At signing you pay three months' fees on a 2-year term, or six months' fees on a 1-year term. We credit it against your last invoices of the term.

5.6. **Full upfront payment (Reserve).** If you pay the whole term upfront you get 5% off.

5.7. **Own.** The hardware is quoted at order and paid in full before we order it. Onboarding is a one-off fee. Every month you pay a management fee, plus rack space, power and network billed open-book. The order form sets a deposit of one month's fees. Once the vendor warranty has ended, replacement parts are charged at cost. Our time to swap them is covered by the management fee.

5.8. **Colocate.** Rack space, committed power per kW and metered electricity, cross-connects and transit, and on-site hands as used. The minimum term is 12 months. Your rack must stay within its committed power. If it goes over, we tell you, and you have 3 business days to fix it before we may limit power.

5.9. **Invoices.** We invoice monthly in advance from acceptance. Invoices are due within 14 days. If you pay late, we charge interest at the statutory rate under Estonian law, plus a fixed €40 per late invoice. If you disagree with an invoice, tell us within 30 days of the invoice date and pay the part you don't dispute.

5.10. **Suspension for non-payment.**

- We send written reminders when an invoice is overdue.
- We may suspend the service once an invoice is more than 30 days overdue, and only after a final notice that gives you 7 days to pay.
- During suspension we only cut network access. Your server stays powered and your data is untouched.
- Fees keep running during suspension.
- We restore service within one business day of payment.

5.11. **Prepayment and set-off.** If the contract ends before the term does, we may use your prepayment to pay anything you owe us. We refund what's left within 30 days.

## 6. Term, renewal and adding capacity

6.1. The term in the order form starts at acceptance.

6.2. **End of term (Reserve).** You may renew at a rate no higher than your current one, move to new hardware, or buy the servers at market value under a separate agreement. If neither of us acts, the order continues month to month at the same rate. Either of us can then end it with 30 days' written notice.

6.3. **End of term (Own).** You may renew, or take your servers with you.

6.4. **Adding servers.** Each server you add has its own full term. It is priced at the current rate unless hardware costs have risen by more than 5%.

## 7. Leaving early

7.1. You may end a Reserve order early by giving written notice.

7.2. You then pay: what you owe to date, plus our unrecovered committed costs (hardware, financing, facility and network), plus wind-down costs and an agreed margin. Wind-down costs never include switching, data transfer, de-racking or hand-over. Those are free (see section 8).

7.3. We deduct: unused prepayment, costs we avoid, supplier refunds and what we actually recover by reselling or redeploying the hardware.

7.4. The amount is capped at the fees remaining for the term. Nothing is recovered twice.

7.5. **How we calculate it.** The order form states the margin as a fixed amount or a percentage and shows a worked example. We send you the calculation within 30 days of your notice. If we resell or redeploy the hardware within 12 months of your exit, we credit you the net amount we recover, up to the fee you paid.

## 8. Switching providers

8.1. You can move to another provider, or to your own infrastructure, at any time. This section applies to Reserve, Own and Colocate and takes precedence over the rest of the contract where the EU Data Act requires.

8.2. **How to start.** Write to [support@3nv.io](mailto:support@3nv.io). There's no notice period. The switch starts on the day we receive your request, or on a later date you name in it. Tell us whether you are moving to another provider, moving to your own infrastructure, or deleting your data and leaving. If you're moving to another provider, tell us who should be our contact there.

8.3. **Transition period.** The transition period lasts 30 days. During it, your server keeps running on the same terms. We keep it powered, networked and supported, provide bandwidth up to the port speed in your order form, don't bill the transfer traffic, arrange a cross-connect to another carrier in the building on request, and give you your server's hardware, firmware and network configuration in writing. If 30 days isn't technically feasible, we tell you within 14 working days of your request, explain why, and propose a longer period of up to 7 months. You can also extend the transition period once, for as long as you choose, at your contract rate.

8.4. **Retrieval period.** After the transition period, you have at least 30 days to retrieve any remaining data. Your server stays running and networked during this time.

8.5. **What you can take with you.** Everything on your server's disks and on any storage you've reserved from us, plus the data we hold about your servers: configuration as delivered, the network details we assigned, management controller accounts you created, our log of logins to your management controller and console, your support history and your usage and billing records. We give you what we hold in JSON or CSV, on request, free of charge. You choose the tools and formats for your own data; we don't lock it into any format of ours.

8.6. **Leaving at the end of a fixed term.** The transition and retrieval periods both need your server running. We recommend telling us at least 60 days before your term ends, so both fit inside the term you've already paid for. This is advice, not a notice period. If your server keeps running past the end of the term so you can finish a switch, those days are billed at the daily equivalent of your contract rate. If you don't need the whole retrieval period, tell us, and billing stops that day.

8.7. **Charges.** We charge nothing for switching, data transfer, cross-connects during the switch, or de-racking and hand-over. Early exit from a fixed term (section 7) is separate from switching and never includes these costs.

8.8. **End of the contract.** Your contract ends when you tell us the switch is complete, or when the retrieval period ends, whichever comes first. We confirm the end in writing. On Reserve, we then erase every drive with verification and send you a written erasure certificate. On Own and Colocate, the drives are yours and leave with your hardware; we erase them only if you ask.

8.9. **Own and Colocate hardware.** We de-rack and pack your server, with our own engineers or the data centre's on-site staff working on our instructions, and release it to you or your carrier at the facility, by appointment. This is free. Shipping is yours to arrange and pay. Shipping hardware outside the EU may need an export licence (see section 9).

## 9. Export controls and sanctions

9.1. 3NV OÜ is an Estonian company. EU and Estonian export-control and sanctions law apply to us. The GPU servers we offer are US-origin products, and US export rules can apply to them.

9.2. **Screening.** Before we sign, we check your company, its owners, directors and the end users you name against the EU sanctions lists and the US Entity List and SDN list. We check again every year, and whenever your ownership or management changes.

9.3. **Where we don't serve.** We don't serve customers or end users located in, or owned or controlled from: Russia, Belarus, Iran, North Korea, Syria, Cuba, and the parts of Ukraine not controlled by its government (Crimea, Donetsk, Luhansk, Zaporizhzhia, Kherson). We don't provide GPU computing, access to AI models or IT consulting to the Russian or Belarusian state or to companies established there, directly or through anyone else. We may refuse any order on sanctions grounds.

9.4. **What you confirm.** In your order form you confirm that:

- you'll describe your intended end use honestly, and tell us if it changes;
- no sanctioned person or entity will own, control, use or benefit from the service;
- no person or company on a sanctions list owns 50% or more of you, or controls you;
- you won't use the service for weapons of mass destruction, missiles or military end use;
- you won't use the service to train AI models for a company headquartered in China or Macau;
- you won't let anyone else use the servers without telling us who;
- you won't give access to anyone in a place the law bars us from serving;
- you'll tell us within 10 business days if your owners or management change, and promptly if any of this stops being true.

9.5. **Moving hardware out of the EU.** Shipping controlled hardware outside the EU may need an export authorisation. Getting it is your responsibility. We release hardware for export only once you've shown us the authorisation, or confirmed in writing that none is needed.

9.6. **If the law stops us serving you.** If serving you would break export or sanctions law, we suspend the service straight away and tell you why, unless the law forbids telling you. If the law requires us to freeze hardware or report to the authorities, we do so.

9.7. Questions about export or sanctions: [legal@3nv.io](mailto:legal@3nv.io).

## 10. Ending the contract for cause

10.1. Either party may end the contract by written notice if the other:

- seriously breaches it and doesn't fix the breach within 30 days of a written notice; or
- becomes insolvent or enters liquidation.

10.2. We may also end it by written notice if:

- you have been suspended for non-payment for 30 days;
- you, or the people who own or control you, become subject to sanctions; or
- you seriously or repeatedly breach the [Acceptable Use Policy](https://3nv.io/legal/acceptable-use-policy) or section 9.

10.3. If we end the contract for your breach, the early-exit fee in section 7 applies. If you end it for our breach, you pay nothing more after the end date, and we refund any unused prepayment.

## 11. Ownership and access to hardware

11.1. **Reserve.** The hardware is owned by 3NV, or by a financier named in your order form. You have exclusive use of it for the term.

- You may not sell, pledge, move or claim the hardware.
- If a financier owns or holds security over the hardware, we tell you who it is.
- Your right to use the hardware continues for the term as long as you keep to the contract, whoever owns it.

11.2. **Own and Colocate.** The hardware is yours. For Own, title passes at acceptance.

11.3. **Own.** Access to your hardware is set out in an access agreement between you, 3NV and the data centre operator, including how you reach and remove it if we ever can't continue.

11.4. **Hardware failure and replacement.** We repair or replace failed parts with the same model, or one that is equivalent or better. Until service levels are agreed for your deployment: if a GPU or server stays out of service for more than 72 hours because of a hardware fault on our side, you stop paying for the affected GPUs from hour 72 until it's fixed, pro rata.

11.5. **Drives (Reserve).** A failed drive is destroyed on site and never returned to a vendor. At the end of a term we erase every drive with verification and send you a written erasure certificate.

11.6. **Drives (Own and Colocate).** The drives are yours. Failed drives are destroyed on site, as agreed in your order form, unless you choose there to have them handed back to you. At the end of the term we erase drives only if you ask.

## 12. Service levels and support

12.1. Support is set out in the [Support Policy](https://3nv.io/legal/support-policy): 24/7 response to hardware failures, business hours for everything else.

12.2. No uptime figure applies before commissioning. Service levels and any service credits are agreed for your deployment after commissioning and recorded in writing.

## 13. Your obligations

13.1. You follow the [Acceptable Use Policy](https://3nv.io/legal/acceptable-use-policy) and section 9.

13.2. You keep your access credentials safe and tell us at once if they are compromised.

13.3. You give us accurate information for screening and invoicing, and tell us when your ownership or management changes.

## 14. Illegal content and abuse reports

14.1. Anyone can report illegal content or abuse to [abuse@3nv.io](mailto:abuse@3nv.io). We confirm receipt of every report. For reports of illegal content, we tell the sender what we decided and why.

14.2. If a report concerns your server, we tell you and give you the chance to respond, unless the law or an urgent risk prevents it. We may restrict network access to the affected server while we act on it, as set out in the [Acceptable Use Policy](https://3nv.io/legal/acceptable-use-policy).

14.3. If we restrict your service, we tell you in writing what we restricted and for how long, why, and how you can challenge it.

## 15. Data protection, confidentiality and publicity

15.1. Where we process personal data for you, the [Data Processing Agreement](https://3nv.io/legal/data-processing-agreement) applies. Our sub-processors are listed in its annex. We give 30 days' notice of a change. You may object within that time. If we can't find an alternative within 30 days of your objection, you may end the affected servers with no early-exit fee.

15.2. Each party keeps the other's confidential information confidential during the contract and for 3 years after it ends. Either party may share it with:

- its advisers, auditors, financiers and insurers, if they are bound by confidentiality;
- authorities, where the law requires.

At the end, on request, each party returns or deletes the other's information.

15.3. **Publicity.** We don't name you as a customer, or use your logo, without your written consent.

## 16. Liability

16.1. Neither party excludes liability for intent or gross negligence, or where the law doesn't allow it.

16.2. Otherwise, each party's total liability under a contract is capped at the fees paid or payable in the 3 months before the claim. The cap doesn't apply to fees you owe us, including the early-exit fee, or to your obligations under 16.5.

16.3. Neither party is liable for lost profits, lost revenue or indirect loss. We are not liable for lost data, with one exception: if we lose or damage data through our own fault (for example by handling a drive wrongly), we pay the reasonable cost of restoring it from your backup, within the cap.

16.4. **Force majeure.**

- Neither party is liable for delay or failure caused by events outside its reasonable control, such as war, natural disaster, grid failure, epidemic, government action or a major supplier failure.
- The party affected must tell the other promptly and try to limit the effect.
- Fees for service you don't receive are not due. Fees for service you do receive stay due.
- If the event lasts more than 60 days, either party may end the affected order without an early-exit fee.

16.5. **Your indemnity.** If a third party or an authority makes a claim against us because of what you run on the server, or because you broke the Acceptable Use Policy or section 9, you cover our reasonable costs and losses.

16.6. **Time limit.** Any claim must be made in writing within 12 months of when the claiming party learned of it.

## 17. Changes, assignment and notices

17.1. **Changes.** We may update these terms and the policies. We give at least 30 days' notice by email. Changes to these terms don't apply to a signed order form during its term unless you agree in writing. Changes required by law apply on the date the law sets. If a policy change materially harms you, you may end the affected order within 30 days of our notice, without an early-exit fee. This doesn't apply to changes required by law.

17.2. **Assignment.**

- You may transfer the contract only with our written consent. We won't refuse without good reason.
- We may transfer it to a company in our group, or to a buyer of our business.
- We may assign or pledge our rights to payment and to the hardware to a financier.
- None of this reduces your rights under the contract.

17.3. **Notices.** Formal notices go by email to the addresses in the order form. They count as received the next business day.

## 18. Law and disputes

18.1. Estonian law applies.

18.2. Disputes go to Harju County Court in Tallinn.
