Terms of Service
These Terms of Service ("Terms") govern your access to and use of the services provided by 3NV. By using our Services, you agree to these Terms, as well as any additional policies and guidelines we may provide from time to time. These Terms are governed by the laws of Estonia.
By signing up for the 3NV services provided by 3NV OÜ, you agree to be bound by these Terms of Service.
Definitions
When we refer to “3NV” or we use pronouns like “we”, “us” or “our”, we are referring to 3NV OÜ as well as its parents, affiliates and subsidiaries.
“Credits” mean service credits that you use to pay for the Services.
When we mention "User," we are referring to you, and terms like "you" and "your" will also apply to you. However, things can become more complex if you are using our services on behalf of a company, organization, or another entity. In that case, you are confirming to us that you have the authority to bind your company, organization, or entity to these Terms of Service and that you accept these Terms of Service on their behalf (in which case, “User,” “you,” and “your” will refer to the entity). If you are uncertain about this or unsure whether you have the authority to bind your organization to this contract, you should seek clarification from others within your organization.
“Service(s)” means all services provided by 3NV, including our infrastructure services (such as servers).
Services
The Services provided by 3NV under these Terms of Service include tools to help you deploy and manage your internet infrastructure. Any new features or tools added to the current Service will also be subject to these Terms.
3NV may choose not to offer a Service in, to, or from specific jurisdictions, locations, or countries at our sole discretion, if we determine that continuing such Service is not permitted or advisable.
You are responsible for all activities carried out within the Service under your Account, including any actions taken by other Users. You must comply with, and ensure that all Users comply with, the Fair Use Policy and all user instructions related to the Service. You will be held accountable for any violations of the AUP or user instructions committed by the Users.
General Conditions
You may not use 3NV's services for any illegal or unauthorized purpose, nor violate any laws in your jurisdiction or the laws of Estonia while using the Services. You agree to comply with all applicable laws, rules, and regulations.
We strongly recommend checking whether your country of residence is subject to sanctions by the European Union. 3NV is not responsible for any inability to subscribe to or use the Services if you attempt to do so from a country that is sanctioned by the EU. If you subscribe from such a country, you will be in breach of these Terms, and the service fee will not be refunded.
We reserve the right to modify or terminate the Services at any time, for any reason, without notice. We also reserve the right to refuse service to anyone, for any reason, at any time.
Account
To use the Service you have to register and create a service account (“Account”). You can have multiple users and billing accounts under the Account. When registering to the Service, and at any time during the term of the Agreement, you must provide true, accurate and complete information as required by 3NV, and keep your information up-to-date. If you provide inaccurate, incomplete or fraudulent information, we have the right to suspend and/or terminate your access to and use of the Service
You are responsible for protecting the credentials of your Account and ensuring that any other Users do the same. If you suspect that an unauthorized third party is using, or may have access to, the Service or your Account, you must notify us immediately. We reserve the right to temporarily suspend your Account if we have reasonable grounds to believe that it has been compromised and is being used by an unauthorized third party.
Payment Terms
Unless otherwise agreed in writing, Service charges will be deducted from your Account using prepaid Credits. These Credits are non-refundable and non-transferable, except at 3NV's sole discretion.
To access the Service, you must maintain a positive Credit balance in your Account. It is your responsibility to ensure that you have enough Credits in your Account at all times to cover the service fees for the subscribed Service. If your Credit balance becomes zero or negative, we reserve the right to suspend your access to the Service. If you do not replenish your Account with sufficient Credits within a reasonable period set by 3NV (at least seven (7) days), we will treat the Agreement as terminated, close your Account, and delete all associated Customer Data. You are still responsible for paying applicable service fees (e.g., for storage or reserved IP addresses) during the suspension period until the Agreement is terminated.
The pricing for the service is shown by the hour. Monthly, quarterly, semi-annual & annual pricing is derived from the hourly price, assuming there are 720 hours in one month.
3NV uses Stripe as its payment gateway. Please check the available payment methods at checkout.
Service fees will be invoiced in advance on a monthly, quarterly, semi-annual, annual, or bi-annual basis, as specified in the order, and are payable before the start of the Service term. Non-recurring and usage-based charges will be invoiced afterward as specified in the order.
Service Availability & Maintenance 3NV reserves the right to modify its network, system, or routing configurations. We may change or replace any hardware or software without liability, provided these changes do not have a materially adverse effect on the Service.
Planned maintenance will be communicated to you no later than three (3) calendar days in advance. In emergency situations, we will notify you at least one (1) hour prior to the maintenance via the email provided in your order.
Data Security and Backups
3NV does not provide backup services. You are solely responsible for backing up your data, and 3NV is not responsible for any loss of data.
Service Disruptions
In case of service disruption, contact 3NV's support via the website chat or by email at support@3nv.io.
3NV may modify the features or functionalities of the Service at any time without liability, as long as it does not have a materially adverse effect on the Service.
Limitation of Liability You understand and agree that 3NV is not liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, loss of profits, goodwill, data, or other intangible losses resulting from your use of or inability to use the Services.
Your use of the Services is at your own risk. The Services are provided "as is" and "as available," without any warranty or guarantee of uninterrupted, timely, secure, or error-free operation.
Breach of Terms, Suspension, and Termination
You must always comply with these Terms, as well as your local laws and regulations, when using the Service.
If we have reasonable grounds to believe that you or any Users have violated any part of these Terms, or if we receive an order from a competent Governmental Authority to remove Illegal Content, we reserve the right to take the following actions:
- Terminate the Agreement with immediate effect. In cases where it is required by law or a Governmental Authority's order, we may do so without providing prior notice to you.
You are required to provide reasonable assistance to us during any investigations related to suspected breaches of the Agreement.
3NV will not be liable to you or any third party for any suspension of your Account, termination of the Agreement, or removal or disabling of access to Customer Data carried out in accordance with this Section.
Intellectual Property
3NV does not claim ownership of the materials you provide. By uploading materials, you agree to allow other internet users to view content posted publicly on your servers and for 3NV to store and review your materials if necessary.
We will not disclose your confidential information except as required in providing services.
Modifications to the Terms
3NV reserves the right to amend these Terms and the prices of Services with at least 30 days' written notice.
